Welcome to SOPs.NZ. By accessing or using our website, services, or digital products, you agree to comply with and be bound by these Terms & Conditions. Please read them carefully before using our services.

1. Definitions

•       "We," "us," "our" refers to SOPs.NZ, a trading name of Danjo Ventures Limited (NZBN: 9429047146488), its owners, and affiliates.

•       "You," "your" refers to any user, customer, or visitor of SOPs.NZ.

•       "Services" means all products, tools, checklists, SOP templates, consultancy, and resources offered through SOPs.NZ.

2. Use of Services

•       Our digital SOPs, templates, and resources are provided for general business guidance only.

•       You are responsible for adapting any materials to your specific business, industry, and compliance requirements.

•       You agree not to resell, distribute, or reproduce our content without prior written permission.

3. Intellectual Property

•       All content — branding, SOPs, templates, training materials, videos, and resources — remains the intellectual property of SOPs.NZ.

•       Purchase grants you a non-exclusive, non-transferable licence to use materials within your business only.

•       Unauthorised reproduction, sharing, or sale is strictly prohibited.

4. Consulting & Advisory Disclaimer

•       Our services, templates, and consultancy do not constitute legal, financial, or compliance advice.

•       We recommend seeking independent professional advice for legal or regulatory obligations specific to your industry.

5. Purchases & Payments

•       All prices are listed in New Zealand dollars (NZD) unless otherwise stated.

•       Digital products (e.g. templates, checklists, downloads) must be paid in full at the time of purchase. Delivery is electronic and immediate once payment is received.

•       Custom SOP writing and consultancy services require staged payments:

•       50% deposit is payable upon acceptance of the contract. Work will not commence until this deposit has been received.

•       50% balance is due upon delivery of the final agreed deliverables. Final deliverables will not be released until full payment has been cleared.

•       Late payments may result in suspension of services until outstanding amounts are cleared.

•       Additional Revisions: The service includes up to two (2) iterations. Any additional revisions, drafts, or significant scope changes requested beyond this will be charged at our standard consultancy rate, agreed upon in writing before further work begins.

•       Ownership of Work: All drafts, materials, and intellectual property created by SOPs.NZ remain our property until full payment has been received. Upon receipt of final payment, ownership of the final agreed deliverables transfers to you. SOPs.NZ retains the right to showcase non-confidential, de-identified examples of work for portfolio and marketing purposes.

•       Cancellation: If a client cancels after work has commenced, the 50% deposit is non-refundable. Any work completed beyond the deposit value will be invoiced at the standard consultancy rate.

6. Refund Policy

•       Due to the nature of digital products, all sales are final.

•       If work has commenced and the deposit has been paid, the deposit is non-refundable.

•       Refunds on the balance will only be considered if deliverables have not yet been provided, and will be assessed on a case-by-case basis if agreed in writing.

7. Liability

•       SOPs.NZ is not responsible for any loss, damage, or business interruption resulting from the use or misuse of our materials.

•       You accept full responsibility for implementing, maintaining, and updating SOPs in your business.

8. Privacy & Data

•       We may collect and store information you provide (such as contact details, enquiry forms, and purchases).

•       Personal information is handled in accordance with our Privacy Policy [link].

9. Third-Party Tools & Links

•       Our site may contain links to third-party websites or integrations (e.g. video tools, automation platforms).

•       We are not responsible for the content, security, or practices of external sites.

10. Amendments

•       We reserve the right to update or amend these Terms & Conditions at any time.

•       Continued use of our services after changes are published constitutes acceptance.

11. Governing Law

•       These Terms are governed by the laws of New Zealand.

•       Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
